These are decisions that only the council can make about the companies it has a significant interest in. The decisions that are reserved to the council are set out in each company's articles of association. The decisions relate to things such as: 

  • appointing and removing board members
  • approving the business plan
  • making changes to the articles of association

Shareholding is an executive function. The shareholder role is typically delegated to a policy committee chair who will take reserved matter decisions at their weekly policy chair briefings, unless the decision meets the criteria for a key decision, in which case the decision will be taken at a policy committee meeting.
